These Terms and Conditions ("Terms") govern purchases made from AX Innovations Corp. ("AX Innovations", "we", "us" or "our") through our website at axfightworks.com (the "Site"). By placing an order on the Site, you agree to these Terms.
1) Eligibility and Use of the Site
You agree that you are legally able to enter into this agreement and that you will use the Site in compliance with applicable laws. We may refuse service, terminate accounts, or cancel orders at our discretion to prevent fraud, abuse, or unlawful activity.
2) Orders and Acceptance
All orders are subject to acceptance by AX Innovations. We may cancel or limit quantities for any reason, including suspected fraud, inventory issues, errors in product or pricing information, or shipping restrictions. Your order is not confirmed until you recieve an order confirmation email. If we cancel an order after payment has been captured, we will refund the amount paid to the original payment method.
3) Pricing, Taxes and Payment
Prices are shown in USD unless otherwise stated. Prices, product availability and promotions may change without notice. Sales tax (and any other applicable taxes) will be calculated at checkout where required by law. You authorize us (or our payment processor) to charge your selected payment method for the total amount of your order, including taxes and shipping.
4) Shipping and Delivery
We ship orders Monday-Friday (excluding holidays) and typically process and dispatch in-stock items within 2-3 business days, unless otherwise noted. Shipping rates and available services are shown at checkout based on your delivery address. Once your order ships, you will receive a confirmation email with tracking information.
Delivery times are estimates provided by the carrier and not guaranteed. Please verify your shipping address before submitting your order. If an order has already been processed or shipped, we may not be able to change the shipping address.
Risk of Loss. Risk of loss transfers to you upon delivery to the shipping address shown on your order confirmation.
5) Returns and Refunds
We accept returns on eligible items within 30 days of delivery, provided producs are unused and in their original condition. To start a return, contact us with your order number and the item(s) you'd like to return. We will provide return instructions.
Return shipping costs are the customer's responsibility unless the return is due to error (wrong item, damaged, or defective). Once your return is received and inspected, approved refunds are issued to the original payment method. Processing times can vary by bank or card issuer. Items marked final sale or customized products are not eligible for return.
6) Warranty
AX Innovations products are warranted against manufacturing defects for 90 days from the date of delivery, unless otherwise stated on the product page. This warranty covers defects in materials and workmanship under normal use conditions.
If you believe your item is defective, contact us with your order number and photos of the issue. At our discretion, verified defects will be repaired or replaced. This warranty does not cover normal wear, cosmetic damage, misuse, alterations, or damage caused by improper mounting, improper care, or abnormal use conditions.
7) Product Information and Availability
We strive to display accurate product descriptions and images. However, product colors and appearance may vary due to display settings. We do not warrant that product descriptions, images, or other content on the Site are error-free. If a product listing contains a material error (including price), we may correct it and/or cancel affected orders.
8) Promotions and Discount Codes
Discount codes and promotions are subject to their stated terms and may be modified or discounted at any time. Unless explicitly stated, discounts cannot be combined. We may cancel orders that misuse promotions or violate promotion terms.
9) Intellectual Property
All content on the Site, including text, graphics, logos, product names, images, and design elements, is owned by AX Innovations or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without our prior written permission.
10) Limitation of Liability
To the maximum extend permitted by law, AX Innvoations will not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or business interruption) arising from or related to your purchase or use of the Site, even if advised of the possibility of such damages.
Our total liability for any claim arising out of or related to a product purchase will not exceed the amount you paid for the product(s) giving rise to the claim.
11) Disclaimer of Implied Warranties
Except as expressly stated in Section 6 (Warranty), and to the maximum extent permitted by law, products are provided "as is" and we disclaim all implied warranties, including implied warranties or merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow limitations in implied warranties, so some of the above may not apply to you.
12) Export Compliance
You agree to comply with all applicable export and re-export laws and regulations. We may restrict sales or shipment of certain products to certain destinations and may cancel orders that cannot be shipped lawfully. If you are outside the United States, you are responsible for compliance with local import laws, duties, and regulations.
13) Force Majeure
We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, carrier delays, labor disputes, supply shortages, war, terrorism, government action, or internet/service outages.
14) Severability
If any provision of these Terms is found unenforceable, the remainging provisions will remain in full force and effect.
15) Governing Law and Venue
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any dispute shall be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to personal jurisdiction and venue in those courts.
16) Changes to These Terms
We may update these Terms from time to time. The "Effective Date" will reflect the latest version. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
